GENERAL TERMS & CONDITIONS

SPRINGWOODS HOU SERVICES LLC d/b/a AFAST COURIER
Commercial Courier, Delivery and Logistics Services
Business Location: Spring, Texas
Effective Date:
September 22, 2026

1. Scope and General Provisions

1.1 These General Terms and Conditions (“Terms”) govern commercial delivery, courier, logistics coordination and related services supplied by SpringWoods Hou Services LLC, doing business as AFAST Courier (“AFAST,” “we,” “us”), to business customers (“Customer”). These Terms are designed for business-to-business transactions; consumer transactions may require separate terms.

1.2 An individually signed service agreement, statement of work or accepted written quote controls if it expressly conflicts with these Terms. Any Customer purchasing terms are not binding unless AFAST expressly accepts them in writing.

1.3 AFAST may use employees, qualified independent contractor drivers, subcontractors and third-party carriers to fulfill an accepted service, subject to applicable law and any expressly agreed restrictions.

2. Information, Service Specifications and Customer Cooperation

2.1 Customer shall supply accurate pickup and delivery addresses, contact names, access
instructions, package counts, weight, dimensions, contents description, declared value, delivery deadline and any special handling requirements before acceptance.

2.2 Customer shall disclose fragile, perishable, temperature-sensitive, regulated, hazardous, medical or otherwise restricted contents and furnish lawful packaging, labeling, documentation and instructions. AFAST may decline any shipment that exceeds its equipment, training, insurance or legal authority.

2.3 Customer is responsible for determining whether the proposed service and vehicle are
appropriate for its goods unless AFAST expressly undertakes that responsibility in a signed agreement. Estimates and website descriptions are not guarantees of a particular delivery outcome.

2.4 AFAST does not provide medical diagnosis, treatment, clinical judgment or a guarantee
of specimen viability.

3. Documents, Data, Estimates and Confidentiality

3.1 Quotes, route plans, rate sheets, service proposals and operating materials prepared by AFAST remain its proprietary materials unless otherwise agreed. Customer retains ownership of its own documents and shipment information.

3.2 Each party shall use reasonable safeguards for confidential business information
received from the other and disclose it only as necessary to provide or receive services, meet legal obligations or enforce an agreement.

3.3 Customer shall retain its own copies of essential shipment documents. Proof-of-delivery records, photographs and electronic signatures may be collected where appropriate and lawful.

3.4 If protected health information is involved, the parties shall determine whether a
Business Associate Agreement is legally required and execute one before covered services begin, where applicable.

4. Formation of Orders and Scope of Services

4.1 A request, website submission or quote inquiry does not by itself obligate AFAST to perform. An order is accepted when AFAST confirms it by email, dispatch communication, written agreement or actual commencement of the agreed service.

4.2 Available services may include scheduled and on-demand courier delivery, medical supply and specimen transportation where authorized, STAT and emergency dispatch, business-to-business delivery, route services and logistics coordination. Specific availability, geography, staffing, vehicle suitability and response times are subject to confirmation.

4.3 Changes in pickup location, delivery location, shipment details, timing or handling requirements may require a revised price and schedule. AFAST may reject unlawful, unsafe, inadequately described or improperly prepared shipments.

4.4 AFAST does not undertake transportation of persons or regulated materials without separately confirming the required authorization, equipment, training and insurance.

5. Pickup, Delivery Times and Packaging

5.1 Delivery windows are estimates unless the parties expressly agree to a guaranteed deadline in writing. STAT or emergency designation establishes dispatch priority as agreed, not an unconditional arrival guarantee.

5.2 Customer shall have the shipment properly packed, labeled, documented and ready at the agreed pickup time, and ensure safe access for the driver. Customer is responsible for any legally required shipper packaging and classification.

5.3 Waiting time, unsuccessful pickup or delivery attempts, redelivery, after-hours access, special handling and route changes may incur additional charges disclosed in the applicable quote, rate schedule or service agreement.

5.4 AFAST may record pickup, handoff, recipient name, signature, timestamp or delivery
photograph, subject to privacy and site restrictions. Where a signature is unavailable, an agreed alternative proof of delivery may be used.

6. Events Beyond Reasonable Control

6.1 Neither party is liable for delay or nonperformance caused by circumstances beyond its reasonable control, including severe weather, flood, fire, public emergency, government restrictions, widespread network outages, road closures, labor disruption or similar events, to the extent permitted by law.

6.2 The affected party shall provide reasonable notice when practical, use commercially reasonable efforts to reduce disruption and resume performance. Charges for completed work and agreed nonrecoverable expenses remain payable. The parties shall coordinate cancellation or rescheduling if the disruption materially affects an order.

7. Custody, Handoffs and Delivery Completion

7.1 Unless a written service agreement states otherwise, AFAST’s custody of a shipment begins upon documented acceptance by its authorized driver and ends upon documented delivery to the designated recipient, authorized receiving point or other Customer approved location.

7.2 Customer shall identify authorized recipients and any chain-of-custody, identification, temperature or signature requirements in advance. AFAST may refuse an unsafe or unauthorized handoff and seek revised instructions.

7.3 Customer remains responsible for the inherent nature of the goods, undisclosed
contents, inadequate packaging and errors in information supplied by Customer, subject to applicable law and AFAST’s own responsibilities.

7.4 Undeliverable shipments may be returned, held temporarily or otherwise handled under reasonable instructions and applicable law; additional costs may apply.

8. Claims, Service Issues and Shipment Conditions

8.1 Customer should inspect delivered shipments promptly and report visible damage, missing items, delivery discrepancy or service concerns as soon as reasonably practicable, preferably with photographs, tracking details and supporting records.

8.2 Written claims should be submitted to kbfuller@swhouservices.com within 30 calendar days of delivery or the event giving rise to the claim, subject to any nonwaivable legal rights or separate negotiated agreement. No stated notice period shall extinguish a claim where prohibited by law.

8.3 AFAST may investigate a claim and request packaging, purchase records, chain-of-custody documentation and other reasonably relevant evidence. Do not dispose of allegedly damaged goods before allowing a reasonable opportunity to inspect, unless safety or law requires otherwise.

8.4 Service remedies and any liability limits are governed by Section 11 and applicable law.

9. Rates, Invoicing and Payment

9.1 Unless expressly agreed otherwise, all charges are stated in U.S. dollars. Rates may account for mileage, stops, vehicle type, dispatch urgency, wait time, tolls, parking, handling requirements, after-hours service and other agreed accessorial charges. Applicable taxes, if any, are additional.

9.2 Payment terms are those shown on the accepted quote, invoice or signed service agreement. If none are stated, payment is due upon receipt of invoice. AFAST may require advance payment, a deposit or an approved credit account.

9.3 Customer shall promptly dispute any invoice in writing with specific reasons; undisputed sums remain payable. Late amounts may bear interest at the lesser of [INSERT AGREED RATE] or the maximum permitted by applicable law, if stated in the applicable agreement or invoice.

9.4 AFAST may suspend new nonessential orders for material overdue balances after reasonable notice, subject to existing commitments and applicable law. Additional services outside the agreed scope require separate charges or approval.

10. Customer Goods and No Sale of Products

10.1 AFAST supplies transportation and logistics services; it does not sell, manufacture or take title to the goods carried merely by accepting a delivery order. The original manufacturer’s warranties, if any, remain between the appropriate parties.

10.2 Customer represents that it owns the shipment or has authority to tender it for transport, and that its tender, contents and instructions comply with applicable law.

10.3 Any lawful possessory lien or storage remedy will be exercised only as permitted by applicable law and any signed agreement. AFAST will not treat patient-critical items or protected information as ordinary collateral contrary to law.

11. Liability, Insurance and Indemnification

11.1 Each party is responsible for its own negligent acts, willful misconduct and breach of applicable law to the extent provided by law. AFAST does not disclaim liability that cannot legally be excluded.

11.2 Any shipment value declaration, cargo coverage, deductible, excluded commodity or per-shipment liability cap must be expressly stated in the applicable signed service agreement and coordinated with actual insurance terms; this document does not promise an unverified insurance amount.

11.3 To the extent legally enforceable, neither party shall be liable for remote or unforeseeable consequential losses, except where expressly agreed or where such exclusion is prohibited by law. This does not excuse intentional misconduct or other nonwaivable liability.

11.4 Customer shall indemnify AFAST against third-party claims to the extent caused by Customer’s unlawful or inaccurate shipment instructions, improper packaging, misclassification or breach of law, except to the extent caused by AFAST or its personnel. Any reciprocal indemnity or negotiated cap shall be included in a signed service agreement.

11.5 AFAST will maintain insurance required by applicable law and any coverage expressly promised in a signed agreement. Certificates and specific coverage requirements may be addressed during Customer onboarding.

12. Governing Law and Dispute Resolution

12.1 These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where mandatory federal or other law applies.

12.2 Subject to mandatory jurisdictional rules and any individually negotiated dispute-resolution agreement, disputes shall be brought in courts of competent jurisdiction serving Harris County, Texas, or another mutually agreed Texas venue.

12.3 Before filing suit, the parties will make a good-faith attempt to resolve a commercial dispute through written notice and discussion, unless urgent relief or a filing deadline requires otherwise.

13. Intellectual Property and Website Use

13.1 AFAST retains rights to its business name, logos, website text, forms, route methods, software materials and other intellectual property, except third-party or Customer-owned materials. No transfer or license is granted except as necessary to receive the contracted services.

13.2 Customer shall not misuse the website, submit false booking information, interfere with its operation or use AFAST branding without written permission. Website use is also subject to the separately published Privacy Policy.

14. Medical, Restricted and Regulated Shipments

14.1 Medical supplies, diagnostic specimens, pharmaceuticals, temperature-controlled items, biological substances, hazardous materials and other regulated goods will be accepted only when the particular shipment, vehicle, driver, equipment, training, insurance and route satisfy applicable requirements and AFAST expressly confirms acceptance.

14.2 Customer, as shipper where applicable, shall correctly classify, prepare, package, label and document each regulated shipment and communicate chain-of-custody, temperature and incident procedures. AFAST shall perform the carrier responsibilities applicable to its role.

14.3 AFAST may reject or stop transport where there is leakage, suspected exposure, missing documentation, unsafe conditions or a compliance concern, and may contact Customer or appropriate authorities as required.

14.4 No statement on the website shall be construed as authorization to transport every class of hazardous material, controlled substance or infectious material. Any required HIPAA-related arrangement, security protocol or specialized handling procedure must be agreed separately before service.

15. Amendments, Notices, Severability and Contact

15.1 AFAST may revise these website Terms prospectively by publishing an updated effective date. A change to an already accepted order or signed contract requires the parties’ agreement where legally required.

15.2 Notices regarding an order may be sent to the contact details used for that order. Formal legal notices should be sent to the addresses designated in the signed service agreement or otherwise validly provided.

15.3 If a provision is unenforceable, the remaining provisions remain effective to the extent lawful. Failure to enforce a provision on one occasion is not a general waiver. Electronic records and signatures may be used to the extent permitted by law.
